Terms of Service

v1.0 · Last updated 2026-09-28

Welcome to 语桥 Lingobridge (the "Platform"). These Terms of Service (the "Terms") constitute a contract between you and 吉林鲸鸣信息技术有限公司 ("we", "us" or "our") regarding your use of the Platform.

1. Acceptance and Amendment of These Terms

Before using the Platform, please read all of these Terms carefully and completely, in particular the clauses that exempt or limit our liability, the clauses that restrict your rights, and the clauses on dispute resolution and jurisdiction. If you do not agree with any part of these Terms, please do not use the Platform.

By ticking a box, clicking to confirm, registering, logging in or otherwise using the Platform, you are deemed to have read, understood and accepted all of these Terms.

We may amend these Terms in response to changes in laws and regulations or to our business. The amended Terms will be published on the Platform. For material amendments we will give notice by in-app message, pop-up or other prominent means. If you continue to use the Platform after an amendment takes effect, you are deemed to accept it; if you do not accept it, you may stop using the Platform and apply to close your account.

2. Definitions

Platform: the online platform operated by us that provides matching, scheduling and settlement technology services to language learning providers and learners.

User: a natural person who registers for and uses the Platform, in one of three roles: student, teacher or academic coordinator.

Student: a party that receives language teaching services through the Platform.

Teacher: a party that provides language teaching services through the Platform.

Academic coordinator: a person who, at our request or in cooperation with us, is responsible for day-to-day liaison between students and teachers, scheduling coordination and settlement assistance.

Lesson hour: the smallest billing unit on the Platform. One lesson hour equals the duration agreed for the course.

3. Account Registration and Security

Student accounts are created by an academic coordinator on your behalf; self-service registration is not open to students. Teacher and academic coordinator accounts are applied for under the procedure published on the Platform and are activated after review.

You must provide true, accurate, complete and valid registration information. You are responsible for any consequence of information that is untrue, invalid or incomplete, and you must compensate us or any third party for losses caused.

You must keep your account and password secure. Any operation performed using your account and password is deemed to be your own act and you bear the consequences. If your account is compromised, contact us immediately.

Your account is for your own use only. You may not lend, rent out, transfer, sell or otherwise make it available to others.

On your first login we may require you to change the initial password and to confirm these Terms and the Privacy Policy.

4. Scope of Services

The Platform is a neutral provider of network technology services. It provides teachers and students with information matching, scheduling management, lesson-hour records and settlement assistance.

The Platform does not itself provide teaching services. Lessons are actually provided by teachers, who are responsible for teaching quality and performance; the Platform provides technical and administrative support.

Teacher grades, trial feedback, graduation institutions and similar information published on the Platform are provided by users themselves. We verify them within a reasonable scope, but this is not a guarantee of teaching outcomes.

We may add, modify or discontinue features as our operations require, and will give appropriate advance notice of changes that materially affect you.

5. Courses, Scheduling and Lesson Hours

The specific rules for scheduling, rescheduling and cancelling lessons are those published on the Platform.

After a lesson is completed, lesson hours and fees are recorded under the Platform rules. Lessons that did not actually take place are not billed.

The teacher-side timetable is for viewing only. To change a time, change a student or cancel a lesson, please go through an academic coordinator under the standard procedure.

Communication between students and teachers, and between students and academic coordinators, should be conducted through the Platform so that a record exists for dispute review.

6. Fees, Settlement and Refunds

Course fees and lesson-package prices follow the rates published on the Platform. A teacher's fee standard is set by their grade; after a grade change, the new standard applies from the effective date of the change.

When a student buys a lesson package, it is bound to a specific teacher. If the teacher is changed, the price is reassessed under the new teacher's grade standard.

Refunds: lesson hours already consumed are not refundable. Unconsumed amounts may be submitted for refund under the Platform rules and will be returned by the original payment route after our review. The refund rules published on the relevant page prevail.

Settlement and withdrawal rules follow the rules published on the Platform. Each payee is responsible for declaring and paying its own taxes in accordance with law; we perform withholding and remittance obligations where applicable.

7. Academic Cooperation and Referral Fees

The relationship between academic coordinators and us is one of cooperation. It is not an employment relationship or a labour dispatch arrangement. Remuneration for academic coordinators is calculated under the commission rules published on the Platform.

A student may be bound to more than one teacher at the same time; changing teachers is handled through an academic coordinator.

Academic coordinators may, with mutual confirmation, enter into referral fee agreements, settled under the rules and rates published on the Platform. Referral fees arise only after a lesson is actually completed — no lesson, cancellation or refund means no referral fee.

We may adjust the referral fee rules as our operations require. Agreements already in effect before an adjustment continue under their original terms until they end or the parties confirm otherwise.

8. User Conduct

When using the Platform you must comply with the laws and regulations of the People's Republic of China and must not use the Platform for any unlawful or non-compliant activity, including but not limited to:

(1) publishing or transmitting content that violates the basic principles established by the Constitution, endangers national security, disrupts social stability, or insults or defames others;

(2) fake orders, fictitious lessons, false lesson attendance, forged lesson records, malicious complaints or malicious refunds, or any other means of fraudulently obtaining lesson hours, teaching fees, commissions, referral fees or platform subsidies;

(3) impersonating another person, or forging academic or teaching qualification materials;

(4) inducing others to transact outside the Platform in order to evade Platform rules and settlement;

(5) interfering with or disrupting the normal operation of the Platform, or obtaining unauthorised data by technical means.

Once any of the above is verified, we may, depending on severity, issue a warning, restrict features, freeze or deduct the relevant amounts, suspend or terminate the service, or permanently ban the account, and we reserve the right to pursue legal liability. Where a criminal offence is suspected, we will report it to the competent authorities.

9. Intellectual Property

The intellectual property rights in the Platform and in the software, programs, page designs, text, graphics and marks used in it are held by us or the relevant rights holders in accordance with law.

Without our written permission or that of the rights holder, you may not copy, modify, rent out, lend, sell, distribute or otherwise use the above content.

Rights in content you upload or submit on the Platform (such as teaching materials or qualification materials) remain yours. You grant us a licence to use such content to the extent necessary to provide the Platform services.

10. Personal Information Protection

We collect, use, store and protect your personal information in accordance with law. For details, please read the Privacy Policy carefully. The Privacy Policy forms an integral part of these Terms and has the same effect as these Terms.

11. Service Interruption, Termination and Account Cancellation

To maintain service quality we may carry out system maintenance and upgrades. Where this causes interruption within a reasonable period, we are not liable for compensation.

You may apply to close your account at any time. Before closing it you should settle any fees due and complete any unfinished lessons and settlement matters.

If you seriously breach these Terms or applicable laws and regulations, we may suspend or terminate the service to you after giving notice.

After the service ends we will still handle your personal information in accordance with the Privacy Policy and applicable law.

12. Disclaimer and Limitation of Liability

The Platform is provided on an "as is" basis. To the maximum extent permitted by law, we make no express or implied warranty as to the timeliness, security or accuracy of the service.

We are not liable for compensation for service interruption or data loss caused by force majeure, network failures, failures of third-party services (such as payment, communications or cloud services), hacker attacks, government acts or other causes beyond our reasonable control, we are not liable for compensation, though we will use reasonable efforts to reduce the impact.

Disputes arising from lessons between you and a teacher, or between you and an academic coordinator, are resolved by the parties through negotiation; we may provide necessary information and assistance.

To the maximum extent permitted by law, our total liability to you is limited to the total service fees you actually paid to us in the past twelve months that are directly related to the matter in dispute.

13. Notices and Service of Documents

We may send you notices by in-app message, page announcement, SMS or the contact details you have provided. Such notices are deemed served on the date of sending.

You must ensure that the contact details you provide are accurate and valid. You bear the consequences if you fail to receive a notice because you did not update them in time.

14. Governing Law and Dispute Resolution

The formation, validity, performance and interpretation of these Terms, and the resolution of disputes under them, are governed by the laws of the mainland of the People's Republic of China (excluding conflict-of-laws rules).

Disputes arising from these Terms should be resolved through friendly negotiation. If negotiation fails, either party may bring proceedings before 长春净月高新技术产业开发区人民法院.

15. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the validity of the remaining provisions is not affected.

These Terms, together with the Privacy Policy and the service rules published on each page, constitute the entire agreement between you and us.

These Terms take effect on 2026-10-16.
